These Terms of Service (“Terms”) govern your access to and use of the services provided by Nexus Web Services LLC, doing business as Nexus SureHost (“Nexus,” “we,” “us,” or “our”). By purchasing, accessing, or using any Nexus services, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not use our services.
1. Services Provided
Nexus SureHost provides managed hosting and related technology services, which may include, but are not limited to:

Managed WordPress hosting

DNS and domain connectivity management
-
Security, performance, and content delivery services
-
Cloud-based infrastructure and private tunnel connectivity
-
Client portal and SaaS platform access
-
Technical support, monitoring, and maintenance
Specific features, limits, and pricing are defined by the service plan, order form, or written agreement applicable to your account.
2. Eligibility and Account Responsibility
You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to use our services.
You are responsible for:

Maintaining accurate and current account information
-
Securing all usernames, passwords, API keys, and credentials
-
All activity that occurs under your account
Nexus is not responsible for unauthorized access resulting from your failure to protect account credentials.
3. Domain Names and DNS Management
3.1 Domain Ownership
Unless explicitly stated otherwise in writing, you retain ownership of your domain name(s). Nexus does not claim ownership of client domains.
3.2 DNS Authority
To deliver hosting, security, and connectivity services, you authorize Nexus to manage DNS records for domains connected to our platform. This may require pointing your domain’s nameservers to infrastructure designated by Nexus.
Once connected:

Nexus may create, modify, or remove DNS records as necessary to operate services

Manual DNS changes made outside of Nexus may cause service disruption and are not supported
3.3 Third-Party Infrastructure
Nexus utilizes trusted third-party providers to deliver portions of its services. Domain traffic and data may pass through such providers as part of normal operation.
4. Acceptable Use Policy
You may not use Nexus services for unlawful, abusive, or prohibited activities, including but not limited to:

Malware, hacking, or exploitation

Phishing, fraud, or deceptive practices
-
Spam or unauthorized bulk communications
-
Infringement of intellectual property rights
-
Activities that interfere with network stability or security
Nexus reserves the right to suspend or terminate services immediately for violations of this policy.
5. Content Ownership and Responsibility
You retain all rights to content, data, and materials you provide or host through Nexus services.
You are solely responsible for:

The legality and accuracy of your content
-
Obtaining any necessary licenses, permissions, or registrations
-
Compliance with applicable laws and regulations
Nexus does not claim ownership of client content.
6. Nexus Intellectual Property
All software, automation, scripts, systems, workflows, documentation, platforms, and intellectual property developed or used by Nexus in the course of providing services remain the exclusive property of Nexus Web Services LLC, unless otherwise agreed to in writing.
Nothing in these Terms transfers ownership of Nexus intellectual property to the client.
7. Confidentiality
Both parties agree to maintain the confidentiality of non-public, proprietary, or sensitive information disclosed in connection with the services.
Confidential information includes, but is not limited to:

Credentials and access details
-
Business operations and strategies
-
Client data and technical configurations
This obligation survives termination of services.
8. Data Privacy and Security
Nexus implements reasonable administrative, technical, and physical safeguards designed to protect client data against unauthorized access, loss, or misuse.
You acknowledge that:

No system is completely secure

Nexus does not guarantee absolute data security
Nexus processes data in accordance with applicable privacy laws and regulations. Clients remain responsible for ensuring their own compliance obligations related to hosted content.
9. Backups and Data Loss
While Nexus may provide backup or redundancy features, no backup system is guaranteed.
You are responsible for maintaining independent backups of your data. Nexus is not liable for data loss, corruption, or recovery failures unless explicitly agreed upon in writing.
10. Billing, Payments, and Fees
All fees are billed in advance unless otherwise stated.
Failure to pay may result in:

Suspension of services

Loss of access
-
Data deletion after extended non-payment
Unless otherwise stated, all fees are non-refundable.
11. Service Availability and Support
Nexus endeavors to provide reliable services but does not guarantee uninterrupted availability.
Service performance may be affected by:

Scheduled maintenance
-
Emergency outages
-
Third-party providers
-
Internet conditions beyond Nexus’s control
Support response times and service levels depend on the selected plan.
12. Limitation of Liability
To the maximum extent permitted by law, Nexus shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities.
Nexus’s total liability for any claim shall not exceed the amount paid by you for services during the three (3) months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold harmless Nexus, its officers, employees, and partners from claims arising out of:

Your use of the services
-
Your content
-
Your violation of these Terms or applicable law
14. Export Control Compliance
You may not use Nexus services in violation of any applicable export or import laws or regulations. Services may not be used in prohibited jurisdictions or for restricted activities.
15. Suspension and Termination
Nexus may suspend or terminate services for non-payment, violations of these Terms, or to protect system integrity or legal compliance.
Upon termination:

Access may be revoked
-
Data may be deleted after a reasonable period
-
Outstanding balances remain due
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida.
The parties agree to attempt to resolve disputes through good-faith negotiation or mediation prior to litigation. If unresolved, disputes shall be brought exclusively in state or federal courts located in Florida.
17. Modifications
Nexus may update these Terms at any time. Continued use of services after changes constitutes acceptance of the updated Terms.
